Corporate Paralegal The candidate provides legal and administrative support to Attorneys in the Legal Department. Assists with draft preparation and review of vendor contracts. Ensures contract review protocol is maintained. Coordinates execution and termination of agreements. Reviews, prepares and revises non-disclosure agreements and statements of work. Applies for, maintains and manages center business licenses for the organization. Reviews marketing collateral for adequate disclosure, accuracy and compliance, including adherence to brand guidelines under the supervision of Attorneys. Assists with M&A and other strategic transactions, including providing due diligence support, data room management, and preparing and organizing deal documents. Supports Attorneys in the overall management of the Company’s intellectual property and franchise. Responsible for coordinating, maintaining and updating client agreements. Prepares memos and summaries synthesizing regulations. Assists in drafting and maintaining corporate governance records. Reviews product labels for compliance with various regulatory bodies, and files appropriate notifications with national and or international regulatory agencies. Responsible for the issuance and administration of RINGI application and reporting drafts and approvals. Acts as liaison between the Legal and other Company departments as well as outside agencies and vendors. Performs substantive research as assigned. Provides support to Attorneys across all legal functions and performs other duties as assigned.
Qualification and Experience
The candidate should have Bachelor’s degree in a related field (Paralegal study certification a plus). Must have 4-6 years transactional legal experience in a corporate or firm environment. Excellent communication skills (verbal, written and interpersonal) are required. Must have ttention to detail and accuracy. Must be highly organized with ability to prioritize work as necessary and handle multiple tasks under tight deadlines. Should be proficient in MS Office Suite (Outlook, Word, Excel, PowerPoint) and Adobe Acrobat. Ability to discretely handle highly confidential and proprietary information is required. Must have ability to interact effectively with employees at all levels of the organization. Must be bilingual (fluency in Spanish or French preferred).
