Corporate Paralegal The candidate will assist with preparing Board and Committee schedules, materials, agendas, resolutions, minutes, and reports; assist with meeting administration and attendance tracking; and support the Corporate Secretary and the Board of Directors in response to director requests, including research projects, as they arise. Assist with maintaining global subsidiary books and records, including drafting resolutions, updating and/or creation of an internal filing/tracking/document management systems, and tracking/maintaining compliance with required governmental filings for US and foreign subsidiaries. Assist with public company compliance including NYSE filings and notices, and Section 16 reporting with the Securities and Exchange Commission. Perform research and respond to requests regarding KYC and due diligence matters, special projects (such as M&A, capital markets transactions, dividends, share repurchase transactions and compliance with the terms of the Company’s preference shares), executive compensation matters, compliance regarding the Company’s omnibus incentive plan, and other general corporate matters, as directed by attorneys, including assistance regarding the tracking of treasury shares and omnibus incentive plan share usage. Assist with annual update of corporate governance documents, including policies, guidelines and Board committee charters and monitor developments in corporate governance. Performs additional duties and projects as assigned. Consistent regular scheduled attendance is considered an essential function of this job. Bachelor’s degree; Paralegal Certificate from an accredited program preferred. Experience working as a corporate paralegal in a law firm or the legal department of a U.S. public company. Minimum of 5 years.
