Associate Tax Counsel The candidate reporting to the EVP of Tax/Tax Counsel, must be able to multi-task, provide simple and clear (or “plain Englishâ€) explanations to internal clients and work under pressure. Provide advice on U.S. and cross-border M&A, including repatriation strategies, structuring acquisitions to maintain tax efficiency, and efficient structuring of dispositions. Evaluate merits and risks of externally developed tax strategies. Identify tax issues and opportunities, and present conclusions and recommendations. Provide first line tax advice to more than fifty portfolio companies organized as Subchapter C corporations or partnerships on day-today tax issues ranging from employee compensation, Federal and state tax audits, calculating tax distributions and structuring of add-ons. Stay current on and evaluate the implication of U.S. and international tax law on Audax Group and its portfolio companies. Over time the candidate should be interested in developing his or her tax knowledge of the following areas that impact the day to day operation of Audax Group: State and local taxation; Complex and creative uses of partnerships Individual tax planning and controversy; Fund formation; ICAVs, BDCs, and other AIVs; Charitable organizations.
Qualification and Experience
The candidate should have Juris Doctor (LLM in Taxation or MST helpful). Should have 5-7 years of legal experience, preferably including as a senior associate in a major law firm, or major corporation tax department. Excellent tax technical, research and analytical skills and decision-making capabilities are needed. Should have experience in dealing with international, cross border issues and various types of legal and business structures, including strong corporate and partnership knowledge. Demonstrated team and project management skills are needed. Some knowledge of Canadian corporate income tax a plus. Closing Date:2018-06-10.
