Corporate - Contract Law
Contract Administrator The candidate will be responsible for contract creation, negotiation, and life-cycle management of a variety of commercial contracts in a fast paced, high demand contracts department. Will partner with interested internal business units, legal, and respective business management teams and will manage and resolve complex contractual problems. Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions. Negotiate contractual documents, mostly Sales Agreements, Service Agreements, Supply Agreements, Collaboration Agreements, Material Transfer Agreements, Confidentiality Agreements, Statements of Work, and License Agreements, etc. Perform duties within established department service level response times. Administer new/renewal contracts and prepares/coordinates documentation for internal stakeholder review. Manage all contract activities during the relationship term, including initial proposal review, drafting of master agreements with relevant terms, amendments, and contract termination. Partner closely with the internal business units, Finance, Operations, and others in order to gain a complete understanding of the technical and business requirements and to ensure alignment during contract negotiations. Provide on-going guidance to the business teams regarding negotiated contractual provisions, rights and obligations, agreed milestones, and delivery and payment schedules, and provide best course of action to ensure contract compliance. Develop and maintain excellent partnerships with contracted parties to build efficiencies, successful project execution, and contract implementation and performance. Ensures agreements include compliance terms for legal, company and department requirements. Initiates review of existing contracts to identify areas of vulnerability and develops strategy to reduce risk to firm. Identifies and documents contractual risks in contractual relationships. Identifies opportunities for improvement and applies best practice principles and concepts where appropriate. Performs required tasks in support of corporate mergers, acquisitions, and divestitures. Must have Paralegal Certificate. Should have BS in Biology or other biological science. Juris Doctor (JD) Degree is preferred. Genomics educational or work experience background is desired. Possess expert level contract writing and negotiating skills is required. Excellent problem solving skills as well as strong proficiency in conflict resolution is needed.
