Senior Attorney
The candidate will provide duties include: Assisting/advising in preparation and negotiation of Change Orders, Extensions of Time and Claims raised by Clients, Vendors, Subcontractors and firm. Various ethics and compliance responsibilities to include investigations, due diligence and training. Reviewing and negotiating Secrecy Agreements and Interoffice Agreements. Reviewing Proposals / ITB’s, preparing contract deviations and managing negotiations for new opportunities (which includes reviewing EPC Contracts terms and conditions, pricing/payment schedules, scope of work, project procedures and execution schedules on lump sum, unit rate and reimbursable contract models) for small to medium sized projects. Advising on EPC Projects in varying jurisdictions and working with and understanding foreign governing/applicable law, including facilitating, understanding and applying specialized legal advice from such jurisdictions. Ensuring project contracts are consistent with the firm project objectives and firm policies while avoiding onerous liabilities. Coordinating project reviews by insurance experts. Advising on and review of financial instruments (e.g., letters of credit, bank guarantees) and project finance documentation. Participating in management review meetings. Advising on and review of Parent Company Guarantees and advise on corporate house-keeping matters like setting up or close out of offices/entities. Must have 4-6+ years’ experience. Must be bilingual (English/Spanish). Must have understanding of EPC contracting preferably in the Oil, Gas and Power sector. Must have excellent written and verbal communication skills. Must have ability to negotiate. Must have flexible attitude. Must have ability to work independently. Must have ability to travel to projects and offices around the world (travel +/- 30% expected). Spanish is a plus.
