Contract Manager The candidate will be fully integrated as an active team member of major account in the US to deliver day-to-day contract management services. This hands on and influential role offers the unique chance to shape and lead the delivery of professional contract management services in in one of most strategic accounts using and deploying Contract Management practices. As Contract Manager will work closely with the account and operational teams as well as the support functions (Legal, Finance, Risk, Tax, etc.), and will be responsible for ensuring awareness of and compliance with contract management process. Will be responsible for: Deploying contract management with the objective to support profitable delivery in managing proactively our contracts by influencing the client account strategy to enhance commercial performance of our contracts, including: Supporting establishment of contract management procedures, tools and methodologies to implement the contract in accordance with its terms, documenting and managing records with the objective to maintain complete contract documentation files and audit traill Assist /advise on identifying areas where the contract can be exploited to improve cash flow and leverage commercial levers by working closely with account team; Be the first point of contact of the delivery and account team for contractual matters and be in charge of the direct follow up of the contract / legal aspects associated with relevant customer contract/s in coordination with the Legal Counsel(s); Collaboration with the delivery teams in scope/gap analysis, project governance, management of change requests, management of subcontractors, monitor of the acceptance procedures, contract interpretation, etc.; Ensure that all contract changes (e.g. addendum) are recorded in correct format, and that the performance of the contractual obligations is properly tracked and documented. Participation in negotiations and meetings with the customer. Drafting with the other members of the delivery team of any notifications to be sent to the customer on any contract related topic; Identification, assessment and management of risk-related areas in the contract execution and support rigorous and effective risk management processes. Advice on issues of interpretation and assist in any disputes / claims resolution process. Participate in the review of, and subsequent transmittal of approved proposals or service orders to customers. Proactively advising and collaborating with business team and delivery managers as well as other team members in the contract execution, and management of the daily contractual relationship with the customer in a way that protects the company’s interests. Will be a key player in the account governance, participating at account level meetings as a trustful advisor to the business and delivery teams, working to resolve all contractual risks and issues related to contracts with the clients, and managing compliance with contractual obligations protecting the company’s interests and supporting business strategy decisions.

Qualification and Experience

The candidate should have Bachelor’s Degree: Business or Finance. J.D-Juris Doctor is required. Should have strong and solid experience (7 years) in the management and negotiation of Information Technology Outsourcing contracts, preferably in a large international matrix organization. Experience in contract risks management, negotiations including claims / disputes management is required. Should have contract and commercial background in Information Technology Outsourcing business (e.g. Managed Services, ITO) with expertise in proactive contract & claim management, preferably in a large group and large international program. Should have ability to anticipate and to take on some of critical from Account team and Legal department, if any, and add expertise value to contract and claim management. Must be business focus, solution and problem solving oriented, and ability to assess contractual topics in ways to improve contracts’ productivity. Should have experience in drafting and reviewing contracts, technical and financial exhibits, Statement of Work, amendments, change requests and change notes. Must have strong written correspondence skills. Should have ability to synthesize complex legal & contractual topics and communicate to internal (or external) collaborators with different backgrounds and disciplines. Should have ability to set-up, to document and to deploy contract management processes in coordination with the operational teams in a global and international environment. Proficiency in using MS Office (Word, PowerPoint, Excel & Outlook) is required. Should have time management skills.
Bilingual: English/Spanish, French, or Italian a plus.
