Senior Staff Counsel The candidate will provide legal support to corporate functions, with focus on M&A, venture capital, public financing and other business development transactions; corporate governance and SEC reporting matters; corporate policies and best practices; and drafting, reviewing and negotiating a variety of corporate agreements. Will provide legal support for M&A, strategic investment, partnership, joint venture, public financing and similar business development transactions. Will assist with corporate governance and SEC reporting and related matters, including driving best practices initiatives and support of corporate secretary and the board of directors. Will assist with the creation, administration and enforcement of legal policies and processes. Provide legal support to corporate functions. Will work with other members of the legal staff on a variety of legal matters including contract, employment, intellectual property and regulatory matters. Will anticipate and guard against legal risks. Research and respond to questions that arise from daily business.

Qualification and Experience

The candidate should have excellent academic record. Should have Law degree from a law school approved by the American Bar Association or proper state authorities. Should be licensed to practice, or ability to become licensed to practice, in appropriate jurisdiction. Should be in good standing with state bar, with no disciplinary record. Should have 6+ years’ relevant legal experience; relevant law firm experience valued; M&A, transactional and corporate governance experience important. Should have experience as a corporate generalist valued. Should have excellent business judgement. Should have ability to work in fast-paced environment and to identify potential legal, operational and strategic risks. Should be highly motivated and organized, and able to set priorities effectively. Should have strong collaboration and teamwork orientation. Should have attention to detail. Should have ability to investigate complex business problems, develop effective recommendations, present solutions, and resolve problems in a highly professional and strategic manner. Should have high quality written, verbal and presentation skills. Should have proven negotiating skills.
