Corporate Counsel The candidate main focus includes structuring, drafting and negotiating cloud, telecommunication, technology and outsourcing agreements. The position also entails dealing with a variety of commercial and customer issues and generally handling the assorted business/legal questions that arise. A good corporate generalist/transactional background would be helpful as the attorney may be exposed to a diverse array of issues that arise over the course of the day to day business. Will report directly to the General Counsel sitting in New York, NY. Responsible for handling cloud, outsourcing, technology and telecommunications transactions. Manage outside counsel Handle compliance, privacy or regulatory related issues. Handle general legal issues arising from corporate transactions and a wide breadth of other legal issues, including employment and real estate matters. Provide training to employees on compliance and regulatory matters. Perform other duties as assigned by the General Counsel. Provide guidance on data privacy and security.
Qualification and Experience
The candidate should have active member, in good standing, of the Illinois
State Bar or admission to another Bar (and the ability to work as in house counsel in IL.) Must have J.D. from an accredited law school required, as well as strong academics. Should have 3-5 years of general corporate and technology experience. Must have primary skill set is technology, outsourcing and / or telecommunications (commercial issues, contract drafting, and corporate matters). Desire to initiate, manage and/or assist with group and internal projects (audits, department technology initiatives, etc.) is needed. Some litigation and IP knowledge is a plus. Experience with SaaS, IoT, and partnership agreements is a plus. Must have excellent verbal and written communication skills, as well as strong research skills. Should have demonstrated ability to work with diverse internal business groups both locally and internationally throughout the company, including procurement, sales and human resources. Must have excellent organizational skills with the ability to multi-task and prioritize. Should have strong computer skills, particularly MS Word and Msissues. Must be capable of running small to medium size technology deals involving cloud, managed services solutions or 2nd seating other attorneyâ€™s on larger complex transactions.
