Senior Paralegal Duties: Prepare draft corporate minutes, resolutions and other board-related materials Assist with preparation of SEC reports and annual meeting matters Manage corporate maintenance matters such as stock ledgers and minute books Assist in designing and administering corporate policies and procedures Assist with administering regulatory compliance programs Support commercial transactions Prepare, review and coordinate due diligence materials for transactions, investigations, etc. Assist with litigation discovery and tracking. Assist with employment matters. Assist with and track IP registrations. Maintain/create filing systems and other information management techniques for legal matters. Assist with legal department operational matters including invoice management and accruals. Assist in formulation and deployment of process-related improvements related to the provision of legal services. Participate in teams assigned to strategic corporate initiatives on an as needed basis. Review/proof documents generally. Conduct legal research.
Qualification and Experience
Qualifications: B.A. or B.S. (or equivalent). 4+ year of experience at law firm or in-house preferred, but fast learning, energetic entry level candidates will also be considered. Superior interpersonal skills and judgment are paramount. Ability to manage fast-paced workload and add value to multiple projects simultaneously. Self-starter who desires to show project ownership and enjoys working across departments. Excellent organizational, analytical, writing, research and people skills, with attention to detail. Proficiency with Word, Excel, and PowerPoint.
