Senior Counsel, Fixed Income The candidate will draft, negotiate and close the various agreements for the Fixed Income Finance Desk and supervise junior counsel handling the process. The relevant agreements include the Master Repurchase Agreements, Global Master Repurchase Agreements, Master Securities Lending Agreements, Custodial Undertaking Agreements, Guarantees, Non-Disclosure Agreements, Waivers, Terminations, and various types of amendments. Handle all stages of the contract process from the initial drafting process through execution and assist senior manager with supervision of junior counsel who handle the process as well. Maintain detailed and accurate records of all transactions using the appropriate systems. Follow up consistently with unresponsive customers. Close transactions and projects expeditiously and meet and/or exceed expected timing requirements. Interact extensively with the Firm's institutional clients and their internal/external counsel as well as coordinate with the firm's trading/sales, legal, credit and tax areas. Advise internal stakeholders such as the Business/Sales, Credit and Trading. Request and review legal opinions and related bring-down opinions from external counsel relative to legal certainty determinations and draft legal memos based on these legal opinions and supervise process handled by junior counsel. Perform legal enforceability reviews and determinations on ongoing fund additions to existing agreements, as well as new counterparties. Supervise and monitor the work of junior counsel who maintain legal certainty opinion binders, electronic storage of same, as well the record of all opinions by jurisdictions. Supervise, monitor and participate in ongoing regulatory compliance projects, including, but not limited to documentation reviews. Formulate, update and maintain policies and procedures for the Fixed Income Finance Legal Team. Supervise the process of maintaining the firm new matter and record-keeping systems. Supervise the process of supporting the senior paralegal.
Qualification and Experience
The candidate must have JD degree from accredited law school. Valid Bar license/good standing status from any state, and if not Florida, must obtain the Authorized In-House Counsel license from the Florida Bar is required. Should have 6 years' experience negotiating contracts, preferably for a financial services firm or such firms in a law firm environment. Some experience managing projects, preferably regulatory compliance projects. Comprehensive knowledge of MS Word and Excel is needed. Superior communication skills, both oral and written is must.
