Associate Principal Counsel - Digital Advertising The candidate will provide legal advice and support for DCPI’s Publishing and Digital Media Team and its Games and Apps Team. Will draft and negotiate agreements related to digital advertising sales, advertising technology, data collection and use, influencer marketing, digital media buying, social media platforms, and user acquisition. Perform pre-publication reviews of advertising content for compliance issues. Work with the Assistant Chief Counsel of advertising to advise Company and its affiliates on advertising law compliance, policy, and process, including native advertising, testimonials and endorsements, claim substantiation, and digital disclosures. Work on sponsorships, contests and sweepstakes, user generated content, content production and development, and business development. Be supported by two paralegals and administrative assistant, who also support other attorneys. Directly report to the Assistant Chief Counsel of advertising. Structure, draft, and negotiate contracts relating to advertising sales, advertising technology, data collection and use, influencer marketing, social media platforms, media buying, and user acquisition, including insertion order terms and conditions, promotion agreements, custom content agreements, data sharing agreements, data provider agreements, supply side platform agreements, research and analytics services agreements, media agency agreements, software license agreements, software as a service agreements, services agreements, evaluation agreements, and non-disclosure agreements.Review advertising before it is published to ensure compliance with advertising law and policy, including compliance with FTC Guidelines, CARU Guidelines, internal company guidelines, and other digital advertising industry standards and practices. Advise on advertising law compliance, policy, and process, including native advertising, testimonials and endorsements, claim substantiation, and digital disclosures. Provide other advertising and marketing legal advice and transactional support for DCPI and other businesses of The Firm, including counseling and collaborating with other legal colleagues on associated issues such as sponsorships, contest and sweepstakes, user generated content, content production and development, and business development.

Qualification and Experience

The candidate should have Law degree from an accredited law school. Membership in the California Bar or willingness and qualification to be Registered In-House Counsel is required. Law degree from top tier law school is preferred. Should have 1+ years’ experience in a law firm advising major corporate clients and/or corporate legal department, including structuring, negotiating and drafting contracts and preferably specializing in issues related to digital advertising. Excellent written and verbal communication skill is essential. Strong computer skills, including proficiency with Microsoft Word, Outlook, PowerPoint, and Excel is essential. 10+ years’ experience structuring, negotiating and drafting contracts for a law firm advising major corporate clients and/or corporate legal department, preferably specializing in issues related to digital advertising is preferred. Experience providing legal services related to regulatory aspects of digital and online content and advertising, including FTC Guidelines, CARU Guidelines, other digital advertising industry guidelines, privacy, behavioral tracking, targeting, security, and related matters is preferred. Experience providing legal services to international teams is preferred. Experience providing legal services related to digital and mobile marketing, promotions, and related services and systems is preferred. Experience providing legal advice in support of advertising technology is preferred. Must have a good working knowledge of privacy, data security and social media, in order to help clients navigate these areas in conjunction with the Firm’s subject matter experts.
