ProfileContracts Administrator The candidate will report directly to the Corporate Counsel. Will be responsible for owning and overseeing the contract management workflow, including administering the company’s contract management system, developing and implementing an intake and disposal policy, and tracking and recording open and active contracts. Managing the company’s records retention system, a key compliance initiative being undertaken by the firm to track and manage the maintenance and periodic disposal of its vast portfolio of cross-functional documents. Integrating and collaborating with the Procurement department to scale and augment contract review and finalizations workflows, review & resolve service and purchase contracts, and assist with vendor negotiations. Assist with the review, negotiation and management of third party contracts, including, but not limited to, service agreements, consulting agreements, material transfer agreements and nondisclosure agreements. Prepare and disseminate reports regarding contract status, finances, milestones, compliance, modifications, etc. to contract requestors and/or project teams. Develop an understanding of procedural and compliance issues to determine the appropriate level of engagement by the Corporate or General Counsel. Support the preparation of all SEC filings, including periodic and current reports, proxy statements and confidential treatment requests. Assist with preparing and maintaining corporate records, and coordinating matters relating to Board and shareholder meetings. Bachelor’s degree and/or an Associate’s Degree. Paralegal certification preferred. 3-4 years of contracts and/or document management experience. Experience at an in-house legal department is preferred. Should have 4+ years of administrative experience, preferably from an in-house legal department, law firm and/or other comparable environments that handle confidential material daily. Experience within biotechnology/pharmaceutical industry is a plus. Experience with contract management software a significant plus. Experience with SEC reporting and NASDAQ compliance requirements a plus.
