Legal Counsel, Real Estate The candidate will draft and negotiate firm's various commercial real estate documents and assist in managing and growing firm's real property portfolio. Will directly handle commercial real estate matters for firm. Will draft, review and negotiate commercial real estate documents, including commercial leases for retail stores, service, delivery and warehouse locations, corporate facility locations, supercharger sites and other commercial properties, construction contracts, vendor services agreements, license agreements, SNDAs, estoppels, LOIs and other related documents Project-manage real estate transactions by working closely with construction, design and corporate real estate teams. Work closely with business teams to assess and advise on business risks and risk mitigation strategies. Manage legal and contractual compliance for all firm's properties, including managing permitting, licensing, internal and external approvals, insurance, inspections and other legal requirements (e.g., zoning variances, building codes, lien releases, ADA, etc.). Manage and review reports and other due diligence materials related to potential title and environmental liabilities (e.g. title reports, CC&R, easements, phase 1 reports) . Resolve disputes with landlords, contractors, tenants and/or subtenants and work closely with Lease Administration with respect to property management issues (e.g. resolution of construction disputes, rent discrepancies, construction liens, maintenance matters, etc.
Qualification and Experience
The candidate should have J.D. Degree with excellent academic credentials, top-tier law firm and in-house experience, and exceptional ability. Must have Admission to California Bar or ability to register as in-house counsel. Must have 4+ years of relevant law firm and in-house legal experience as a commercial real estate attorney with the majority of that experience being drafting and negotiating commercial lease and real property acquisition documentation. Should preferably have experience negotiating leases and purchase agreements for commercial retail, corporate and industrial properties. Strong drafting and analytical skills is required. Experience negotiating documents directly with landlords and opposing counsel is required. Spanish speaking a plus.
