ProfileCorporate Paralegal The candidate will provide support to attorneys in preparing and filing documentation for entity formation, qualification, maintenance, merger, dissolution or cancellation of corporations, limited liability companies, partnerships and other business entities. Will be providing support to deal teams throughout merger and acquisition and private equity transactions. Maintaining minute books and stock ledgers; issuing and transferring stock. Drafting board and stockholder consents; filing documentation with appropriate state, county and city filing offices and tax authorities; performing UCC lien searches and reviewing due diligence materials.
Qualification and Experience
The candidate should have Bachelor’s degree and/or paralegal certificate and 1-2 years of paralegal experience with general corporate and securities matters. Must be in compliance with California Business and Professions Code Section 6450 regarding paralegal certification. Must possess excellent communication and organizational skills, strong attention to detail, the ability to prioritize and manage multiple assignments and to work independently and with a team under time constraints. Flexibility for overtime and proficiency with Windows-based software is required. Should also have experience using Corporate Focus.
