A law firm in New York City is seeking a skilled Energy Transactions and Projects Associate Attorney with significant transactional experience in debt project finance and/or tax equity. The ideal candidate should possess 3-5 years of relevant experience and have a strong background in negotiating and reviewing various energy transaction documents.

 

Duties:

  • Negotiate, review, and draft credit agreements, intercreditor arrangements, collateral documents, and other ancillary credit documents related to energy transactions.
  • Review and negotiate tax equity transaction documents, including equity capital contribution agreements, membership interest purchase agreements, LLC agreements, leases, and other related documents.
  • Conduct due diligence on key project agreements, such as joint venture agreements, feedstock agreements, offtake agreements, EPC/EPCM contracts, O&M services contracts, transportation agreements, commodity purchase and sale agreements, and other project-related contracts.
  • Provide legal advice and support on regulatory matters related to energy transactions.
  • Collaborate with other attorneys and professionals on complex energy projects.
  • Assist with the development and implementation of strategies to optimize energy project financing structures.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar or eligibility for admission via reciprocity.
  • 3-5 years of significant transactional experience in debt project finance and/or tax equity, preferably within a law firm environment.
  • Strong understanding of energy industry practices and regulations.
  • Excellent negotiation, communication, and analytical skills.
  • Ability to manage multiple tasks and prioritize deadlines effectively.
  • Experience in reviewing and negotiating complex project agreements.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Admission to the New York State Bar or eligibility for admission via reciprocity.

 

Skills:

  • Significant transactional experience in debt project finance and/or tax equity.
  • Proficiency in negotiating and drafting various energy transaction documents.
  • Strong understanding of energy industry regulations.
