Profile

Contracts/Commercial Analyst The candidate will report to a Commercial Contract Director and provide development, review and negotiation for assigned Client contracts. Will support contract authoring of the contract scope, details, pricing and terms. Will work with the sales and delivery organizations, HR, IT, Legal and Finance groups to obtain their approvals on contracts before they are provided to the Client, and then support the Client and Merkle business team (as appropriate) in completing contract negotiations through to signature. Responsibilities: Contract Development and Authoring: Applies best practices to develop contract vehicles (Statements of Work, Change Orders, Letters of Intent) for consulting and technology services related to marketing efforts for Clients from standard Merkle and Client templates using basic deal scope information, schedule and pricing data as a basis. Types of service engagements in the marketing domain include strategy consulting, media buys, marketing campaigns, marketing database builds, marketing analytics, SEO, SEM, advertising, and web development. Contract processing and Tracking: Follows process controls to verify contract documents are fully vetted internally before presenting to the Client. Coordinates reviews and analysis of Client’s edits to contract documents. Evaluates, authors and processes contract version changes and tracks contract completion progress in Salesforce tool. Responsible for timely processing of projects and contract activities. Assists in maintaining a centralized repository of legal documents. Negotiations: Participates in negotiating team that represents Merkle business in Client contract negotiations. Process and Template Development: Makes suggestions for development of contract document templates. Other areas of responsibility: Special projects include historical research, trending analysis, subsidiary support. Participates in determining objectives of special projects as assigned by management. Researches contractual and legal questions and issues and clearly communicates findings. Provides a high-quality service level to all internal and external customers ensuring accuracy, efficiency, and follow-up. Provides reads and interpretations of contract language as needed after signing.

Qualification and Experience

The candidate should have Bachelor’s degree in Engineering, Paralegal, English, IT, Business, Economics or related field. Should have experience preferred in Information Technology, Digital Agency, or similar professional services organization. Should have 2+ years in Contracts, Procurement, Auditing, Finance, Law or Business or combination thereof. Ability to translate complex concepts into simple terms. Excellent grammar, spelling and business / technical writing skills. Strong analytical skills including the ability to synthesize, distill and draw conclusions from data. Very detail oriented. Advanced expertise in MSWord – including PDF to Word conversions, document template development, outlining, Ability to multi-task and manage multiple simultaneous projects requiring frequent communication and prioritization. Ability to work under pressure, meet deadlines and thrive in a fast-paced work environment. Ability to prioritize workload and know when to ask help from other operations team members as needed. Demonstrated experience communicating with all levels of management, cross functional teams and customers. Some travel may be required.
