Senior Associate General Counsel The candidate assists the Office of General Counsel with providing legal advice and counsel to all levels of staff by identifying and analyzing legal issues, drafting documents, researching legal issues and preparing memoranda, presenting recommendations, negotiating agreements, and ensuring credit union compliance. Works closely with all business lines, particularly the Marketing, Retail Services, Investments and Lending departments. Ensures that operations meet legal and regulatory standards and protect the firm’s legal interests, while partnering with the business lines to help them achieve their strategic objectives. Independently or with the support of the other attorneys in the OGC, handle all legal and compliance matters relating to the firm and affiliated entities (e.g., international representative offices, subsidiaries, non-profit foundation, etc.). Review, negotiate, and draft non-disclosure agreements and contracts. Monitor the regulations governing financial institutions, and participate in project teams to advise on and address compliance and legal changes and issues. Support the Ethics and Compliance program and utilize the firm’s Governance, Risk and Compliance system (Logic Manager). Advise business lines on regulatory aspects of new product development, such as the drafting of disclosures and agreements and revising policies and procedures. Review marketing collateral and notifications to the public for legal and regulatory compliance. Manage outside counsel relationships regarding litigation and trademarks as needed. Advise on basic employment law matters (handbooks, policies, internal investigations, etc.). Review legal documents including wills and court orders regarding Totten trusts and estate appointment and provide analysis and advice to the appropriate business line. Review legal documents including powers of attorney, conservatorships, subpoenas and levies and provide analysis and advice to the appropriate business line. Monitor and follow developments of issues affecting the credit union industry as well as development of laws as they affect the firm. Participate in firm training programs and improve professional development by participating in continuing legal education courses, certificate programs and seminars.
Qualification and Experience
The candidate should have a Juris Doctor degree and admission to a State Bar, and 5-7 years of legal practice. Experience with credit union/banking laws, contracts, and privacy law preferred. Ability to use independent judgment on legal issues that relate to contracts, federal and state laws, NCUA rules and regulations, etc essential. Strong knowledge of Microsoft Word and PowerPoint needed. Excellent oral and written communication skills essential.
