Senior Manager, Equity Administration & Corporate Paralegal
Responsibilities: Assist in the drafting, review and filing of various SEC/public company filings including the company’s periodic reporting and Section 16 reporting forms. Assist with drafting and editing various standard agreements, including commercial contracts, equity award agreements, non-competition/solicitation agreements, confidential disclosure agreements, consulting agreements, distributor agreements, letter of agreements for sales transactions and other agreements as needed. Manage equity plan administration program, including processing new awards and vests, implementation of performance awards, coordination of share movement with transfer agent and brokers, Section 16 filings, and management of global grant agreement templates. Assist with the provision of administrative and financial reporting for periodic shares outstanding reports, quarter and year-end reports, 10K and proxy support. Maintain and manage all legal record and corporate entity tracking systems and annual compliance requirements. Assist with completing the company’s annual report, and assist in the preparation of required documentation for the annual shareholders meeting. Maintain minutes of all board and committee meetings. Assist with the drafting and training on corporate policies, and monitoring related compliance. Assist with public (website) posting of documents to ensure SEC and other regulatory compliance. Support corporate records retention and maintenance, including monitoring and. ensuring compliance with litigation discovery obligations. Support internal legal team and outside counsel in the establishment of corporate entities, intellectual property matters, litigation, and other legal matters. Assist with the implementation and management of a contract management database; Research other technology and office automation within the legal department. Responsible for other duties and projects as assigned. Support the corporate Legal team to develop and maintain an optimized and efficient legal and corporate governance function that meets current and future business and compliance needs. Manage day-to-day plan administration of current equity programs and assist with the design and implementation of enhancements and new program features. Design, implement and participate in projects and activities which support the growth of the company from a legal and equity program perspective. Create a positive image of Anika Therapeutics through communication and interaction with key stakeholders including employees, customers, partners, vendors, and appropriate government and regulatory authorities.

Qualification and Experience

Qualifications: BA/BS or Paralegal degree or equivalent. 15+ years of experience in a publicly traded company providing legal, corporate governance and equity plan administration support services. Excellent verbal and written communication skills. Ability to maintain confidential /legal information. Desired: Medical Device/Life Science industry experience preferred. Demonstrated proficiency with Microsoft Office Suite, specifically Word, Excel and PowerPoint. Working knowledge of equity program tracking solutions. Ability to work autonomously, effectively manage time and deliver results on time. Prior administrative and legal research and project support service experience. Excellent presentation skills, both written and verbal.
