Legal Project Manager / Paralegal The candidate will be assisting attorneys with managing clients' corporate formalities requirements and supporting all stages of corporate transactions. Must have a proven track record of project management and substantial paralegal experience. Assume responsibility for organizational and logistical aspects of large, complex client projects (e.g. licensing of all members of extensive corporate tree in jurisdictions nationwide), and reporting to and keeping attorneys informed throughout the process. Assist in preparing corporate documents to form, dissolve and otherwise reorganize corporations, partnerships and limited liability companies. Manage administrative staff in executing corporate governance filings with state, local and federal agencies. Prepare and manage administrative staff in maintenance of internal corporate governance documentation for client entities. Assist attorneys in various corporate transactions, principally mergers and acquisitions. Assist in preparation of SEC filings. Management of UCC searches, filings and client reports. Must have a Paralegal Certificate or 4-year Degree in Paralegal/Legal Assistant Studies. Should have 5+ years of experience working as a Paralegal in a law firm environment. Must have proven track record of project management and substantial paralegal experience will be considered. Must have proficiency in Microsoft Office – Word, Powerpoint and Excel. Must have strong analytical and communication skills, both oral and written. Must have the ability to work in a fast-paced environment with strict deadlines. Should have the ability to work flexible hours/a flexible schedule to accommodate projects as needed.
