Paralegal - Corporate Duties: Perform a variety of duties to assist attorneys to who assigned according to established policies and procedures and correct legal practice. Maintain positive contact with clients and observe confidentiality of client matters. Collect, analyze, organize and maintain factual information, files and documents. Promote quality service in every way to our clients, both internal and external. Maintain corporate minute books and annual reports, assist in closing of transactions; including creating and maintaining closing document lists and closing folders, maintain and organize closing documents, prepare closing binders, prepare stock certificates and UCC searches. Expertise in business entity formation and dissolution, S elections, FEINs, business registrations, assumed name registrations, qualifying to do business in foreign jurisdictions. Experience in acquisition, divestitures and merger of business entities, Uniform Commercial Code and other searches, preparation of assignments and other transfer documents. Train and supervise others to prepare corporate and limited liability company annual reports, annual shareholder and board of directors consents, resolutions and minutes and maintenance of stock and other business records. Must be a self-starter, a team player, have a high degree of organization, the ability to simultaneously manage multiple projects, have excellent external and internal written and interpersonal communication skills and be committed to best practices.
Qualification and Experience
Qualifications: Paralegal Certificate. 5+ years of work experience necessary. Transactional experience is necessary and large firm experience is preferred. A thorough understanding of general corporate housekeeping matters including creating and maintaining corporate documents, corporate filings, entity formation, entity dissolution, entity DBAs, and obtaining EINs. Must be a self-starter, have the ability to manage multiple projects, a high degree of organization, excellent oral and written communication skills and be detail-oriented. Must be able to perform the essential duties of the position within time constraints, interruptions, and quick deadlines. May need to be available after non-business hours. Many projects are time sensitive, with strict and sometimes extremely short deadlines. Flexibility is important.
