Legal Counsel, U.S.
The candidate provides legal advice and support as needed to support the Senior Legal Counsel, North America. The primary focus will be legal support calculated to ensure successful negotiation of customer-facing contracts (primarily software license agreements, service and support agreements, and maintenance agreements) in compliance with applicable laws, regulations and company policies, but other duties may be assigned as needed to support the Legal Department. Will be required to work closely with counterparts in throughout the Americas region, as well as globally, to support the Senior Legal Counsel, in addition to working with other business teams. Will focus mainly on supporting the Sales Department through contract negotiations but will also provide assistance with general corporate matters when called upon. Provide pragmatic legal advice to all functions as assigned. Maintain current knowledge of, and support compliance with, applicable laws and regulations. Draft, review and negotiate a range of contracts supporting the provision of software, service and SaaS solutions to industrial customers, including leading and participating in internal and external meetings designed to achieve the foregoing. Review and approve variations to standard contracts within an agreed approval framework. Update team members and management on your progress and raise key questions at appropriate times in the business cycle to accelerate progress. Assist in reviewing and assessing current processes, structures and procedures for efficient legal compliance. Support projects and initiatives to realign and streamline legal processes and documentation. Assist in developing, maintaining and updating legal systems and records. Liaise with external counsel and relevant authorities as authorized.

Qualification and Experience

The candidate should possesses a law degree from a duly accredited US law school and is a member in good standing of the Texas bar association. Must have 2-5 years work experience with relevant experience in IT/Software commercial contracts. Experience negotiating software license agreements and service agreements is required. Prior industry experience is desired. Should possesses high-level legal drafting and negotiation skills and excellent written and verbal communication skills in English. Should be proficient with Microsoft Office Software.
