ProfileGeneral Counsel The candidate will represent and give legal advice to the Board of Directors, the District Manager, and other Departments and Divisions of the District. Will advise the Board regarding its powers, duties, and obligations under the Metropolitan Sewage Disposal Districts Act (MSDDA) and the District’s by-laws. Attend all Board and Executive Committee meetings and such Standing and Special Committee meetings as required. Provide legal opinions to the Board, District Manager, Department and Division. Heads, and other District staff as requested. Draft Board resolutions; submit monthly legal report; and review existing, new, and revised District Policies and Procedures. Provide counsel to the Board and District Manager with respect to the strategic planning process; provide insight as to integration of Strategic Plan with potential amendments and revisions to the Service Contract and Rules and Regulations. Provide counsel to the Rules and Regulations Committee and other Special Committees. Coordinate with the Governmental Affairs and Water Quality Division, to review and comment on all pending legislation affecting the District. Coordinate and supervise the activities of outside counsel. Comment and make recommendations on settlement offers and participate in settlement discussions. Enter an appearance in litigation where permitted and desirable. Review and track costs and fees incurred by outside counsel in order to control expenditures so as not to exceed appropriations and/or budget limitations. Provide the Board of Directors and District Manager information justifying a request for appropriations for litigation when necessary. Prepare monthly legal report for the Board of Directors to keep the Board advised on the status of pending litigation. Negotiate, draft, and/or review District contracts as required. Prepare and review easement agreements; create system for cross checking land acquisition agreements with project teams to ensure all necessary rights are obtained. Negotiate, draft, and/or review all Intergovernmental Agreements of the District. Assist the Quality Control Division in development and approval of all new forms used by the District’s Engineering Department. Work with the Engineering Department to resolve contract and bid disputes; prepare responses to claims and manage claims process. Review standard terms and conditions of contracts and revise same where appropriate. Review all form bid documents, request for proposal documents, purchase orders and base contract forms for the Procurement Division. Consult with and assist the District Manager and Human Resources Department with grievances and complaints filed by employees.
Qualification and Experience
The candidate should have JD degree from an accredited law school. Admittance to practice law in all Colorado State Courts and Federal Courts is required. Experience in regulatory and municipal law is essential. Successful experience advising/working with public boards or commissions are needed. Significant experience with contracts, particularly construction contracts, including professional services contracts are needed. Knowledge of wastewater, western water law and permitting issues is needed. Knowledge of the business side of the wastewater industry or a utility is needed. Knowledge of employment law and human resources issues is needed. Excellent interpersonal and political skills to establish and maintain effective relationships with the Board, staff, and external constituents. Strong facilitation, negotiation and conflict management skills are needed.
