General Counsel The candidate provides legal advice and representation to our global organization through a team of in-house attorneys and outside counsel. Works closely with our operations, compliance, finance, human resources, and risk departments and is responsible for managing complex transactions, providing support on mergers and acquisitions, SEC compliance issues, employment matters, real estate, corporate governance and corporate secretarial duties. Participating as a member of the senior leadership team, works directly with senior executives on the development of strategic business initiatives. Advises the company on litigation and other legal risks of possible business decisions, providing preventive counseling associated with standard business practices and specific business transactions. Liaison with the Board of Directors, including corporate secretarial duties. Manages complex transactions, including multi-party agreements, joint ventures, mergers and acquisitions. Develops strategies with both inside and outside counsel in response to civil litigation and regulatory inquiries and cost-effectively managing the resources required to address such matters. Oversight of corporate compliance, including Sarbanes-Oxley. Develops and oversees strategy to provide legal and regulatory advice to the company. Monitors the current legal landscape to update the company on pending legal cases and proposed legislation as applicable to firm. Oversight and leadership of an in-house legal team comprised of 4 attorneys, as well as experienced support staff. Prepare budgets and financial analyses relating to the legal department operations. Independently manage legal matters as assigned by the President and perform other duties as assigned. Must have JD degree from an ABA accredited, prominent, national law school. Should have 12-15 years of legal experience gained through a combination of major law firm experience and in-house experience as a general counsel or senior managing in-house counsel; including international experience. Extensive knowledge of legal practices, procedures and resources, as well as good analytical, written and oral communication skills required.
