Deputy General Counsel, Head of P&C Legal Duties: Serves as insurance lawyer and provides regulatory support for insurance business teams. Leads a legal team providing legal advice on claim and underwriting issues involving property and casualty lines of business, including workers compensation, differences-in-conditions, commercial general liability, commercial property, inland marine, crime, commercial umbrella and other commercial property and casualty insurance products arising out of all states where its subsidiaries conduct business. Reviews and provides guidance on ceded and assumed reinsurance treaties. Reviews, analyzes, revises, and drafts contracts, agency and broker agreements, policy forms and endorsements, confidentiality agreements, releases, and other contracts. Oversees administration of agent and broker contracts, notices of appointment of agents, licensing of surplus lines brokers and insurers, and governmental business licenses. Conducts research, provides alerts, advice, and issues opinions on Company legal matters to department and company leaders. Monitors legal, legislative, and regulatory developments related to insurance and reinsurance. Provides expert advice on insurance regulatory and compliance issues to facilitate business operations Manages state insurance department market conduct exams, regulatory inquiries, ad-hoc data calls, department of insurance complaints, and other insurance regulatory matters. Provides advice on regulatory issues, including interpretation of insurance code provisions, insurance regulations, regulatory bulletins, and other insurance department notices and directives. Advises affected departments concerning legislative and regulatory developments at state and federal level. Develops procedures to comply with legislation and regulations. Assists with filing of rates, rules, and forms with state insurance departments. Reviews marketing materials, web site wording, and press releases in partnership with business units, Corporate Compliance and Enterprise Marketing. Prepares and files applications for state admission and amendment of Certificates of Authority. Investigates and resolves legal issues associated with admission to other states and foreign countries. Launches new admitted insurance commercial lines products in jurisdictions where underwriting subsidiaries are expanding their writings. Develops and leads a team of filing analysts and licensing coordinators. Provides daily direction to Property & Casualty legal team. Communicates Mission, Values, and other organization operating principles to [direct and/or indirect] reports. Establishes and maintains the overall work cadence and, in partnership with department leadership, ensures performance and outcomes strive for excellence in delivery and customer experience. Ensures that the entire team is engaged and that leadership practices encourage development, recognition, and retention. Establishes and adheres to hiring criteria, on-boarding, and training requirements for incoming staff. Oversees the performance management and development process for the team and performs performance management duties, development planning and coaching for direct reports. Acts as a resource for team members to answer questions and solve complex problems. Manages budget, technology and other resources, workload, and customer requests for Department services. Ensures adherence to all Company policies and procedures and Compliance responsibilities. Ensures data quality, adherence to IT security guidelines, profitability and other risk-related metrics for self and members of the team. Directly supervises employees within the P&C legal team and carries out supervisory responsibilities in accordance with company policies and applicable laws. Interviewing, hiring, and training employees; planning, assigning, and directing work; conducting performance and salary reviews; rewarding and disciplining employees; addressing complaints and resolving problems; coaching, mentoring, and developing team members to further their skills and knowledge; creating and monitoring development plans; setting performance expectations/goals; forecasting staffing needs and planning for peak times and absences; enforcing department policies and procedures.

Qualification and Experience

Qualifications: Bachelor’s degree from a four-year college or university and JD Degree from ABA accredited law school required. Properly authorized to practice law in the jurisdiction in which the candidate resides as either a member of the bar or as a registered in-house counsel required. Chartered Property & Casualty Underwriter (CPCU) and/or other insurance industry professional designations preferred. 7 years of related experience in an In-house Counsel Role; an outside counsel role, or counsel or regulatory role in a state department of insurance required. Specializing in insurance is required. Experience launching new insurance commercial product lines. Familiarity with ceded and assumed reinsurance legal issues. Ability to discuss complex legal, business, and insurance issues with executive audiences, and employees in all departments as well as insurance regulators, insurance producers and outside counsel. Knowledge of insurance coverage and extra-contractual liability regulatory standards and caselaw. Ability to assist in handling sensitive personnel or corporate matters. Must be able to write clear, concise, and grammatically correct contracts, legal documents, correspondence, memoranda, and opinions. Work with diverse personalities in every company department, including management, officers, employees, regulators, attorneys, and vendors. Handle multiple projects at the same time. Ability to negotiate resolutions of problems. Ability to add, subtract, multiply and divide using whole numbers, common fractions, and decimals. Ability to compute rate, ratio, and percent, and to draw and interpret graphical representations of data. Ability to apply principles of logic to a wide range of intellectual and practical problems.
