Corporate Counsel, Products Duties: Work closely with our global product development teams during concept, development and execution of new products, processes and related policies. Conduct oversight and internal training to assure compliance with intellectual property rights of third-parties. Draft, review, and negotiate a wide variety of contracts, including license agreements, strategic partnerships, software transactions, open source licenses and related services. Interact with other Legal Department staff members, Company employees, outside counsel and opposing counsel, including department members in the U.S., APAC, and EMEA. Assist global sales team to provide legal diligence to successfully close transactions in a manner consistent with Company policies and best interests. Work with outside counsel for prosecution and protection of patents, trademarks, and copyrights. Review marketing collateral, technical documentation and training programs. Provide other legal support to the Legal Department and Company as needed.
Qualification and Experience
Qualifications: Graduate of an accredited American law school and currently licensed to practice law in the employee’s state of residence. 5+ years of related experience. Experience in technology product development and software consulting. Software development background, including the ability to read/write/understand several programming languages. Knowledge of Oracle and/or SAP software products is desirable. Experience in intellectual property litigation a plus. Admission to practice before the USPTO a plus. Ability to work remotely when not physically present at primary place of employment. Ability to perform the essential functions of the position, as described above and as modified from time to time based on the needs of the Company. Strong written and verbal communications skills, including the ability to participate in conference calls, meetings with third-parties, and presentations to the Company’s Executive Officers. Ability to work both independently, as a self-starter with strong work ethic, as well as collaboratively as team player with the General Counsel and legal department. Excellent judgment and the ability to function in a highly confidential environment. Excellent analytical and problem-solving skills. Able to manage multiple priorities with “can do” attitude, work cross-functionally and meet tight deadlines. Typically up to 10% domestic travel. Desired: Experience with Microsoft Word, Excel and PowerPoint required. Experience with Microsoft Teams a plus. Personable, self-starting team player with a friendly demeanor and great sense of humor. Proactive, organized, self-motivated and self-disciplined.
