A law firm in Baltimore, MD, is seeking a Senior Transactional Tax Associate Attorney with a strong background in partnership tax matters and experience in structuring complex transactions. The ideal candidate should be able to work independently and collaboratively on sophisticated transactional matters, including real estate transactions and M&A. The role requires experience in handling tax structuring for maximum benefits and drafting essential legal documents.

Duties:

  • Independently and collaboratively handle sophisticated transactional matters, including real estate transactions and mergers and acquisitions (M&A).
  • Structure transactions to maximize tax benefits, including handling 1031 exchanges and other tax-efficient strategies.
  • Review, draft, and negotiate entity formation documents, operating agreements, partnership agreements, and joint venture agreements.
  • Manage multiple matters simultaneously while ensuring strong attention to detail.
  • Negotiate effectively and assertively on behalf of clients while maintaining professionalism with opposing counsel and colleagues.
  • Provide strategic advice on partnership tax issues and assist clients in optimizing their tax positions.
  • Develop and maintain relationships with clients, leveraging portable business when applicable.
  • Collaborate with other legal professionals and counsel on complex transactional issues.

Requirements:

  • Extensive experience in transactional tax law, particularly in partnership tax matters.
  • Proven track record of structuring transactions for tax efficiency, including handling 1031 exchanges.
  • Experience working independently and with other counsel on sophisticated real estate and M&A transactions.
  • Demonstrated ability to manage multiple matters with a strong attention to detail.
  • Strong negotiation skills with the ability to advocate effectively for clients while maintaining a congenial demeanor with opposing counsel and colleagues.
  • Portable business or ongoing client relationships are preferred but not required.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in Maryland or the jurisdiction where you are currently practicing.

Skills:

  • Expertise in partnership tax matters and transactional tax structuring.
  • Proficiency in drafting and negotiating entity formation documents, operating agreements, and partnership agreements.
  • Strong attention to detail and organizational skills.
  • Effective negotiation and advocacy skills.
