Senior Paralegal - Investment Company and Contracts
Duties: Prepare registration statements and other regulatory filings required under the Investment Company Act, Investment Advisors Act, Securities Act of 1933 and Securities and Exchange Act of 1934, including Forms N-1A, N-2, N-CSR, N-PX, XBRL, PRE 14A, DEF 14A, N-Q and N-14. Prepare materials for fund board and shareholder meetings. Prepare minutes at client board meetings and often serve as officers of the various investment companies. Participate in SEC comment calls with respect to registration statement filings and SOX reviews. Coordinate all aspects of tabulation/production of proxy materials for both routine proxies and special shareholder meetings, including obtaining quotes and engaging the proxy tabulator. Draft, review and negotiate contracts with clients, vendors and suppliers. Draft service agreements and amendments for hedge fund and private equity fund clients. Maintain corporate entity records. Other duties as assigned from time to time.

Qualification and Experience

Qualifications: Bachelor’s degree and paralegal certification or equivalent work experience. 5 years’ prior experience in a law firm, corporate, or other legal environment. Investment Company Act and Investment Advisers Act experience a plus. Excellent verbal and written communication skills (e.g. presentation, listening; and report writing).. Analytical problem solving and quantitative skills sufficient to handle a complex regulatory environment. . Interpersonal skills necessary: persuasion; negotiation; cooperation; diplomacy; strong planning; organizational and coordinating skills, and strong internal consulting skills. . Strong computer literacy, including Microsoft Office (including Word, Excel, PowerPoint and Outlook) and Adobe Acrobat. Experience with EDGAR a plus.
