Senior Counsel
The candidate drafts, reviews and negotiates agreements related to the practice management business. Advises on structure, performs due diligence, and draft, reviews and negotiates letters of intent, term sheets and definitive transaction agreements to add additional physician practices to The Network and to add additional physicians to practices already in The Network. Advises on structure and drafts, reviews and negotiates letters of intent, term sheets and definitive transaction agreements for joint ventures with physicians, hospitals and other healthcare providers. Provides health care regulatory advice (AKS, Stark Law, FCA, CMS and state rules and regulations) related to arrangements with physician practices. Works collaboratively with the Business Development, Operations and Revenue Cycle teams on their efforts to grow The Network and improve the performance of the practices in The Network. Provides routine day-to-day legal support for the practice management business. Coordinates with other attorneys in the firm's General Counsel Organization on litigation, labor and employment, IP and other matters arising in The US Oncology Network. Frequent interactions with other internal stakeholders across functional groups. Law firm experience combined with in-house experience, preferred. Should have excellent transaction contract drafting and negotiation skills. Must have excellent commercial contract drafting and negotiation skills. Should have knowledge of payer, regulatory, compliance, privacy and licensure issues at the federal and state level relative to physician practices. Must have outstanding verbal and written communication skills. Should have excellent interpersonal skills with an ability to provide sound, clear legal advice to all levels within the company, including senior business executives. Must have ability to work closely with, facilitate interactions within, and influence large cross-functional teams (including representatives from other areas of the General Counsel Organization, regulatory and compliance professionals, business development professionals and operations managers). Must be a team player who can develop strong working relationships and work collaboratively with internal clients and other members of the legal team. Must have 10+ years of corporate law experience. Should have Juris Doctor Degree with excellent academic credentials. Member of a jurisdiction is required.
