Senior Counsel - Healthcare
Responsibilities: Serve as local legal counsel for the home health and hospice portfolio companies. Identify, create, and implement best practices around data privacy, PHI, and IT security. Expertise involving HIPAA regulations and compliance matters. Provide legal advice and input on data privacy to our Portfolio Companies. Draft, edit, and review legal documents including vendor agreements, MSAs, BAAs, and NDAs. Provide a wide range of subject matter expertise and resources on privacy, IT security, and data protection. Advise and lead response to suspected data breaches. Draft and negotiate facility, medical director, independent contractor, nursing home, and pharmacy agreements. Support legal team on HIPAA and compliance policies and procedures. Address State and CMS regulations and licensing requirements. Handle various regulatory and compliance issues, fraud and abuse, Stark Law and Anti-Kickback issues, HIPAA, and Medicare/Medicaid. Support merger and acquisition activity, including due diligence and regulatory filings. Handle medical record requests involving consent and release of records issues. Manage subpoenas and discovery requests. Serve as a liaison between cross functional teams and special projects. Supervise outside counsel as needed. Some travel required.

Qualification and Experience

Requirements: JD Degree and a member of any state bar (Texas Preferred). At least 7+ years of experience, with at least 2 years of law firm experience and at least 2 years of in-house experience. Health Law background required. HIPAA, data privacy, and IT security experience required. Previous experience representing companies in a full range of corporate transactions. Previous healthcare operations experience preferred. Able to work in a fast-paced, entrepreneurial environment. Responsible, accountable, self-starter and result-driven. Highly motivated and able to manage competing priorities. Excellent organizational skills and strong attention to detail. Able to make sound risk judgments, working with colleagues to find an appropriate solution to enable work to move forward.
