Counsel, Corporate Transactions and Real Estate Services Team The candidate will take ownership of issues and coordinate with other parts of Legal and the business teams to reach successful solutions. Will provide legal advice and counsel on all legal issues related to real estate. Prepare documentation for new and existing owned and leased offices and facilities. Negotiate and draft leases, subleases, purchase and sale agreements and construction agreements. Prepare and negotiate lease amendments and letter agreements, as requested by Management. Negotiate Estoppel Certificates and Subordination, Non-disturbance and Attornment Agreements as necessary. Review and negotiate easements, utility agreements and property use agreements with third parties for owned facilities. Oversee property tax matters with local government entities for owned facilities. Respond to and prepare demand letters. Represent the Company, negotiate resolutions to disputes, and prepare settlement agreements as requested by Management. Analyze and render opinions on existing lease arrangements and leasing strategy, including the potential impact of proposed changes thereto. Analyze and render opinions on real estate related issued raises by the Property Management Division, as directed by Management. Coordinate legal services provided by outside counsel. Obtain advice, documents, or other services from outside law firms as needed. Coordinate and act as a liaison on behalf of Management with other departments within company. Identify opportunities for internal process improvements and implement them. Support other special projects or assignments as required.
Qualification and Experience
The candidate should be an experienced attorney with the requisite legal background in real estate. Should preferably have a J.D. degree from an accredited law school and 5+ years of experience in corporate real estate in the private sector. Must have current license to practice law. Proven ability to identify and mitigate legal and business risks is required. Experience interacting/interfacing across a broad array of stakeholders in a complex organizational structure is needed.
