Senior Corporate Counsel, IP The candidate will assist AGC in advising the Company’s brands on IP-related risks, opportunities and needs. Support/collaborate with other in-house counsel on IP-related matters. Assist AGC with IP disputes and litigation and the enforcement of the Company’s IP rights. Assist product development teams across the Company in development, protection and risk avoidance in Spring and Fall seasonal product lines. Develop internal programs to protect IP assests and provide training and development to the Company’s brands to accomplish desired businessobjectives. Review, draft, negotiate and advise on a broad range of IP-related agreements, including license, collaboration, co-branding, co-existence and non-disclosure agreements. Advise on administration of the Company’s inbound and outbound license agreements. Develop existing anti-counterfeit program(s) in line with brands’ continued growth. Oversee the maintenance of the Company’s domain name portfolio. Provide advice on IP aspects of advertising and promotional activities, including activities associated with ecommerce and social media. Provide advice on and assist in IP-related aspects of U.S. or foreign corporate acquisition and divestiture efforts, including reviewing, drafting, negotiating and advising on IP-related provisions and conducting IP-related due-diligence work. Draft distribution and license agreements and amendments for the Company’s third party distributors around the world; help counsel and support the International Group on issues connected to management of such distributors, including contract enforcement, terminations, collection issues, compliance with applicable local regulations, and litigation. Assist in preparing and providing related training to the business teams from time to time; working as needed with outside counsel. Provide legal support and advice in connection with the Company’s owned operations outside North America (including competition issues, general commercial contracts, real estate, product distribution issues, local regulatory compliance, employment/HR, immigration, etc.) Assist the AGC in forming, maintaining and advising the company’s foreign Joint Ventures. Support the corporate governance requirements of the Company’s subsidiary entities (e.g. annual filings, changes in directors, formations and dissolutions) and support Corporate Finance with tax restructurings, inter-company agreements and resolutions connected to payment of inter-company dividends, loans, etc. Collaborate with other members of the Legal Department on special projects and work overflow as needed (including M&A, compliance-related projects, sourcing and logistics issues, general contracts and procurement). Perform duties consistent with the Company’s AAP/EEO goals and policies. Perform other duties as required/assigned by manager.
Qualification and Experience
The candidate should have a JD from an accredited and law school. Bar admission and good standing in at least one state. Should have 7-10 years of legal experience with several years in a top-tier national or international firm, as well as the in-house legal department. Broad knowledge of IP matters. Solid general experience in commercial agreements, including license and distribution agreements, in the U.S. and abroad. Experienced with IP aspects of advertising and promotional activities, including print, eCommerce and social media. Experience in commercial transactions and M&A is a plus. Excellent negotiating and drafting skills. Very strong intellectual and technical skills to perform at a high level of accomplishment. Good business acumen and the ability to fully understand business objectives and priorities. Collaborates with others in the Legal Department and throughout the organization. Manages and prioritizes multiple requests in a very fast-paced environment; moving with the pace and urgency of the business. Highest integrity, accountability and ethical standards. Passionate, proactive and highly motivated self-starter. Excellent written and spoken communication skills. Willingness and ability to directly perform legal work when possible and to efficiently manage work through outside counsel when appropriate.
