Corporate US Paralegal The candidate will support US corporate legal team with the preparation and filing of SEC filings and related documents, including: Forms 8-K, 10-K and 10-Q, proxy statements, other proxy materials and earnings releases using Workiva’s Wdesk software, and director and officer questionnaires. Will setup Edgar projects, templates and create first drafts of SEC filings on Wdesk; make edits and updates to forms as necessary; maintain Edgar codes and passphrases for company and officers. Support US corporate legal team regarding Section 16 compliance (including drafting and filing Forms 3 and 4 for equity grants, stock option exercises and stock sales of directors and officers). Support US corporate legal team in maintaining corporate compliance with SEC, listed company standards and other legal requirements applicable to a publicly traded company. Support US and French corporate legal teams with preparation of corporate, board and SEC filing calendars and management of outside vendors. Coordinate with external brokers to help officers and directors implement 10b5-1 trading plans and assist in the coordination of timely delivery of stock to external brokers. Assist French corporate counsel and General Counsel with corporate governance matters including equity documentation and materials for board meetings. Assist with other corporate and securities compliance matters, including: running OFAC searches, tracking CLE compliance for attorneys, updating legal documents on intranet and SharePoint, sending and tracking documents via DocuSign. Administer Company’s Insider Trading Policy, Trading Windows, Pre-clearance by implementing and monitoring company-wide blackout periods on EquatePlus equity platform. Update trading restrictions for various employee groups including covered persons, affiliates, R&D and Analytics teams on EquatePlus. Coordinate with Paris- and NY-based HR teams to administer legal aspects of Company’s equity programs (options, warrants, RSUs/PSUs), daily stock administration and related matters. Coordinate with outside counsel as needed and directed by corporate counsel and General Counsel in connection with the foregoing. Other projects as assigned by management.

Qualification and Experience

The candidate should have B.A. or equivalent experience. Should have 5+ years of experience as a Corporate Paralegal for a top law firm and/or relevant experience in-house at publicly traded company. Strong legal research, analytical, and problem-solving skills and proficiency in using computers and software, including Microsoft Word, Excel and PowerPoint is essential. Knowledge of equity plans and experience with Workiva or other third-party SEC filing preparation software is preferred.
