Corporate Counsel The candidate will be structuring, drafting and negotiating a variety of commercial agreements with customers in support of the sales team directly and/or other members of the legal team. Agreement types include: master services agreements, professional services agreements, and nondisclosure agreements, as well as ancillary contract documents (security addenda, regulatory compliance documents, subcontractor agreements, etc.). Will be identifying contractual risks and suggesting alternatives that lead to optimal solutions. Working cross-functionally with sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences. Participating as needed as an extended member of the Sales VP/Regional Sales VPs extended leadership team by attending staff calls, providing input on business and contracting strategies. Working cross-functionally to develop commercial models (including defining and drafting the relevant terms and conditions). Setting or influencing strategic policies and initiatives, including ensuring that contract terms are consistent with business objectives. Establishing trusted advisor relationships with the business leadership team and the sales leadership team. Interacting with firm executives and its customers, including informing and influencing senior level leaders regarding matters of significance to the company. Keeping technically abreast of trends and advancements related to company products and services, incorporating relevant changes into the overall process and anticipating their application in future projects.
Qualification and Experience
The candidate should have Juris Doctorate degree. Must have 2+ years of directly related work experience. Experience with, and knowledge of, software licensing and commercial contracts is essential. Excellent legal and contract negotiation skills and experience negotiating with enterprise customers is essential. Experience working with enterprise level sales teams and end of quarter deadlines is essential. Working knowledge of revenue recognition issues is essential. Knowledge of open source software and related concepts is preferred,
