Corporate Paralegal DUTIES: Under the supervision of in-house counsel, this position will take an active and important role in supporting the companyâ€™s personnel, who provide a portfolio of traffic management offerings, by identifying and managing risks and interpreting and resolving legal issues throughout the organization. . Tailor a wide range of corporate and commercial template agreements for use in specific transactions, including confidentiality agreements, license and data rights agreements, IT agreements, subcontractor agreements, distribution agreements, and traffic system purchase, integration, and maintenance agreements. Administer contract processes to ensure consistent use of best practice terms and conditions, uphold company policies and procedures, and protect the companyâ€™s assets. Review bid documents for public works projects and identify material terms and risk factors. Assist in responding to document subpoenas and in defense of litigation, as needed. Interface with in-house and outside legal counsel, project managers, sales personnel, finance personnel, and other stakeholders to assist in providing contract support, and interpreting and resolving legal issues. Draft corporate governance documents for review. Organize and maintain legal department documents in a digital central filing system to ensure prompt retrieval upon demand. Enter and manage contracts in the contract management system, including docketing renewal dates, expiration dates, and other time-sensitive contractual requirements. Complete projects and special assignments, as needed, with discretion and limited supervision. Assist in conducting legal research. Plan and organize work to meet changing priorities and deadlines.
Qualification and Experience
QUALIFICATIONS: Bachelorâ€™s degree, paralegal certificate, or equivalent combination of education and experience. 3+ years of experience in contract administration, drafting or negotiating contracts. Aptitude to interpret and understand legal terminology. Understanding of the life cycle of public works projects from request for bids, submission of proposals, contract negotiation and execution, and tracking key deadlines preferred. Knowledge of principles and practices used in the development and administration of intellectual property contracts a plus. Strong computer software skills including word processing, spreadsheets, and database applications, such as MS Office Outlook, Word, and Excel. Ability to uphold standards of complete discretion and confidentiality. Meticulous attention to detail and quality of work product. Excellent judgment with the ability to make timely and sound decisions and appropriately escalate relevant matters. Strong organizational, problem-solving and analytical skills. Proven ability to manage and prioritize multiple tasks in a fast-paced, deadline oriented environment.
