Paralegal / Legal Assistant The candidate will manage preparation of first draft of agreements in Microsoft Word from forms database. Will handle preparation of agreement redline drafts based on attorney instruction. Proofread final agreement drafts to ensure proper English usage and that agreement internal paragraph references are correct. Research various states requirements for licensing and certification requirements and prepares documents as needed. Coordinate and gather input across multiple corporate disciplines including: Accounting, HR, Risk Management and Procurement. Maintains files/database to ensure no lapses in certifications. Support on-going projects and monitor compliance with contract requirements/certifications. Circulate agreements for review and execution using Microsoft SharePoint work flows. Creation of agreement records e.g., party names, agreement type, effective date, and PDF links in agreement database. Review of agreements to determine obligations placed on Company and then entering such obligations in agreements database for client use in tracking obligations. Develop and generate reports related to departmental agreement work e.g. number and type of agreement reports and docket reports. Process invoices for payment approvals. Preparation of internal and outside counsel time/cost reports from internal databases. Extensive interaction with clients. Daily maintenance of contract database. Must have 2 years experience with SharePoint Skilled in complex agreements database use and manipulation. Familiarity with various types of IP related contracts e.g., confidentiality and patent and trade secret licenses are essential. Good interpersonal skills and ability to work well in a team environment with a demanding client base is needed. Good oral and written communication skills are essential. Research skills, legal administration skills, organization, planning, attention to detail is needed. Proficient in Microsoft Applications Word, SharePoint and PowerPoint is needed.
