Attorney The candidate will perform many of the functions undertaken by the Legal Department on a regular basis. Responsibilities will focus on serving clients in the Creative department who service affiliated songwriters, composers and music publishers. Duties may also include prosecution of copyright infringement actions throughout the U.S. (including supervising outside counsel); prosecution of collection arbitrations and obtaining and enforcing judgments throughout the country (including supervising outside counsel); providing advice and comment on and/or drafting contracts the company enters into with third-party vendors; providing advice and counsel to other departments including Licensing on copyright, contract and other legal issues. Manage estate files so as to effect an orderly transition from the deceased affiliate to their successor. Review for accuracy and completeness and alters as needed agreements with estates, heirs and other successors of deceased affiliates prepared by attorneys, assistants and paralegals. Interface with the Creative department on issues of copyright termination and renewal. Administer estate withholding database; assigns and reviews progress on estates and encourages movement of matters. Address issues involved in royalty assignments and bank loans against company royalties. Supervise handling of levies and garnishments and child support orders and analyzes and decides legal issues in regard to them. Investigate/resolve issues arising from the change in personal status (such as divorce) of a company-affiliated songwriter or composer. Investigate disputes between or among songwriters, composers and music publishers and takes such steps as are necessary to protect the Company. Prosecute and manage numerous copyright infringement actions throughout the U.S., including drafting motion and discovery papers, negotiating settlements, reviewing song ownership documentation, attending settlement conferences and supervising outside counsel. Prosecute and manage numerous collection arbitrations involving licensed radio and TV stations, including supervising collection attorneys throughout the U.S. and negotiating settlements. Provide advice on and/or drafts contracts between the company and outside vendors. Bachelor’s degree and Juris Doctor Degree from an accredited law school required. In addition, fulfilling continuing legal education requirements is also required. 5+ years of legal experience, including private practice in a law firm required. Background in litigation, including researching and drafting of briefs and memoranda and motion practice required. Prior: knowledge of copyright law and/or music industry or broadcasting experience; experience working on behalf of or for a music publisher is highly preferred. Excellent oral and written communication skills required. Ability: to analyze business problems from a legal and practical perspective; to manage many projects at once and to prioritize them; to negotiate authoritatively and persuasively; to work cooperatively with other company executives in different areas required. Proficiency in MS Office required. License as Notary Public is desired.
