Paralegal - Corporate The candidate will serve in traditional corporate paralegal responsibilities for assisting attorneys with managing clients' corporate formalities requirements and supporting all stages of corporate transactions. Will assume responsibility for organizational and logistical aspects of large, complex client projects (e.g. licensing of all members of extensive corporate tree in jurisdictions nationwide), and reporting to and keeping attorneys informed throughout the process. Assist in preparing corporate documents to form, dissolve and otherwise reorganize corporations, partnerships and limited liability companies. Assist attorneys in various corporate transactions, principally mergers and acquisitions. Assist in preparation of SEC filings. Management of UCC searches, filings and client reports. Must have Paralegal certificate. Should have 5+ years of experience working as a Paralegal in a law firm environment. A proven track record of project management and substantial paralegal experience will be considered. Proficiency in Microsoft Office Outlook, Word, PowerPoint and Excel is required.
