Counsel, Corporate II The candidate will independently, draft, review and negotiate various types of agreements including but not limited to services agreements, license agreements, service and parts orders, joint product agreements, vendor agreements, confidentiality agreements, warranties, and intercompany agreements. Will draft/create new contract templates, standards and processes for vendor contracts for multiple firm entities. Establish, implement and maintain a vendor management program.Assist with the development and cross-training for existing and new policies and procedures. Advise firm entities on all aspects of commercial contracting, including providing guidance on, as well as negotiation, drafting and termination of supply contracts, services agreements, OEM and contract manufacturing agreements. Support the risk management function and regulatory compliance in areas such as data security, privacy, import controls, intellectual property management. Work directly with members of the R&D team, and advise senior leaders on potential future risks and exposures, and draft R&D contracts. Provide primary legal counsel on transactional agreements for firm Engine America (KEA). Support and manage domestic and foreign outside counsel on trademark and patent prosecution and maintenance by supplying information/evidence/ documentation necessary to prosecute/maintain trademark/patent applications and registrations and reviewing submissions to be made by outside counsel. Provide a wide range of support for export/import compliance to the Company’s corporate office and one or more of the Company’s operating sectors, including the non-U.S. parent company, subsidiaries and affiliates involving export/import compliance. Develop and maintain effective interface with international trade compliance personnel throughout the firm enterprise, relevant government agencies and industries. Support company in the operation of its internal compliance program, in particular assisting with or leading investigations and preparing investigation reports with recommended and corrective action for closure by the Compliance Officer and General counsel. Supervise outside counsel and contract specialist. Assist with legal compliance, including all state and federal laws and regulations with respect to finance products offered by KCC to commercial and retail customers. Assist General Counsel in establishing, implementing, monitoring, and measuring short and long-term department goals and objectives. Perform legal research and drafts legal memorandum as needed. Assist with special projects assigned by the General Counsel or Project Management Office. Assist with corporate social responsibility initiative.

Qualification and Experience

The candidate should have Juris Doctorate degree.Licensed by a state Bar association. 5-7 years in-house legal experience is essential. Working knowledge of commercial law, insurance law, contract law, employment law and general legal principles is essential. Excellent writing and verbal communication skill is essential. Excellent legal research and legal analysis skill is essential. Experience in counseling management on general employment matters including to discrimination, FMLA and wage and hour laws is essential. Must be able to read, write and communicate in English
