General Counsel Duties: Manage existing legal team in their daily work of building and maintaining a professional, productive, and detail-oriented legal department, with emphasis on intellectual property legal work. Draft contracts, reports, memorandums, legal communication, and other tasks as may be necessary. Review, redline, and comment on third party legal documents, or documents created internally. Manage existing licensing compliance team, who procures required approvals, handles day-to- day communications with licensors, and oversees manufacturing compliance matters related to third-party inbound licensing contracts. Participate in business negotiations (especially those pertaining to licensing and acquisitions), oversee (and personally work on) legal drafting needed to ensure agreed deals are captured in written contract. Manage and improve methods of communications to ensure necessary knowledge and compliance of legal matters are distributed through ANA and Asmodee globally, as necessary. Manage the maintenance of, and improve where possible, the filing and tracking systems by which ANA maintains its legal paperwork, ensuring the necessary internal visibility, compliance, and confidentiality of ANA’s agreements. Manage all ANA’s outside attorney relationships. Oversee legal due diligence, drafting, and other legal details related to acquisitions. Manage the process by which ANA protects its intellectual property (IP) globally, including necessary trademark, copyright and patent findings, and the tracking maintenance of such protections. Engage in settlement discussions, small court filings, or litigation processes, as necessary, to protect assets, people, and other interests of ANA. Oversee the necessary policies, mechanisms, and enforcement principles to manage infringement against ANA’s or licensing-partners’ IP. Take action against infringement, as deemed necessary. Create and disseminate acceptable public (i.e. fan) use guidelines for the ANA IPs. Manage any legal matters affecting ANA brought by outside parties. Take part in the global Asmodee initiative to combat production and sales of counterfeit Asmodee products worldwide, with special emphasis on preventing counterfeit infringement and imports in the U.S. and Canada. Responsible for maintenance and drafting of ANA’s marketplace sales policies, distribution agreements, and other road-to-market contracts, with aim to craft the best-possible structure for the ANA sales teams, while ensuring that such policies and agreements conform to U.S. or Canadian laws. Assumes responsibility for ANA’s compliance with regulations, laws, and contractual obligations. Manage ANA’s corporate governance, state and federal corporate filings. Engage or participate in other projects or tasks that may be required as necessary for the well-being and trajectory of the company.

Qualification and Experience

Qualifications: JD Degree or equivalent. Admitted into both U.S. District Court and Minnesota Court (or admitted in another state, and obtain Minnesota admittance).Must qualify for a Minnesota House Counsel license. 5+ years of executive or senior management experience; ideally in entertainment-related industries. 10+ years of experience in contract drafting for business deals, with emphasis on licensing deals related to IP and IP protection. 5+ years of experience in the registration and protection of intellectual properties. Proficiency and experience in common software applications; such as Microsoft Office and Apple equivalents). Must have solid knowledge of legal terminology, federal and state rules of legal procedure and substantive law. Exceptional professional written, verbal, and interpersonal communication and presentation skills. Strong organizational skills with the ability to multi-task with a high level of attention to detail and problem-solving skills. Excellent time management skills and the ability to prioritize work. Must be comfortable and be able to collaborate effectively with diverse teams within multiple departments. Willingness to take ownership of projects and problems; work unusual hours (when necessary), to communicate with partners in different time zones, and to ensure the best interests of projects. Demonstrated leadership skills and management ability. Able to work independently with little guidance on a set of regular tasks. Must exercise discretion and confidentiality with sensitive company information. Ability to balance demands and meet deadlines that arise unexpectedly in a dynamic office environment.
