Paralegal The candidate will provide legal support for mergers, acquisitions, divestitures, joint ventures and other transactions to a team of three lawyers. Assist attorneys by preparing first drafts of confidentiality agreements, board resolutions, meeting minutes and other agreements. Provide mergers and acquisitions support, including assistance with document review, and due diligence projects. Assist with document preparation and execution for transaction closings. Assist with pre-closing and post-closing transaction support (including tracking closing requirements and filings). Prepare physical and electronic closing binders. Organize and maintain transactional files (both electronic and physical). Proofread and revise legal documents. Maintain attorney calendars and track deadlines. Assist attorneys with legal research, including performing UCC searches. Assist with legal entity management, including creating entities. Provide additional support to attorneys as requested. Must have Paralegal certificate from an ABA accredited school. Should preferably have Bachelor's Degree. 8+ years of transactional or corporate paralegal experience; in-house experience is a plus. Strong organizational and time management skills is required. Excellent oral and written communication skills is needed. Excellent computer skills in Microsoft Office Suite (i.e. Word, Excel, PowerPoint and Outlook); experience with a document management system is must.
