A law firm in Mountain View, CA is seeking a talented Mid-level Corporate Associate Attorney with experience advising public companies on SEC compliance, disclosure, governance, and exchange matters. The role also involves representing issuers or investment banks in capital market transactions, including IPOs, SPACs, direct listings, and follow-on offerings. Preference will be given to candidates with a background or interest in technology and/or life sciences sectors. Superior academic credentials and excellent oral, written, and interpersonal skills are essential. Candidates must be barred in California.

Duties and Responsibilities:

  • Advise public companies on SEC compliance, disclosure obligations, corporate governance matters, and exchange regulations.
  • Represent issuers or investment banks in capital market transactions, including initial public offerings (IPOs), SPAC transactions, direct listings, and follow-on offerings.
  • Draft, review, and negotiate transactional documents such as offering memoranda, prospectuses, underwriting agreements, and corporate governance documents.
  • Conduct due diligence reviews and risk assessments related to corporate transactions.
  • Provide strategic legal advice to clients on corporate structure, mergers, acquisitions, and strategic investments.
  • Collaborate with internal teams and external parties, including clients, opposing counsel, and regulatory authorities.
  • Stay updated on developments in corporate and securities laws, regulations, and market trends affecting clients.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar membership in good standing in California.
  • 3+ years of experience practicing corporate law with a focus on advising public companies or representing investment banks in capital market transactions.
  • Strong understanding of SEC regulations, corporate finance, and securities laws.
  • Experience with IPOs, SPACs, direct listings, and follow-on offerings.
  • Superior academic credentials and demonstrated legal research, writing, and analytical skills.
  • Ability to manage multiple projects and work effectively under tight deadlines.
  • Excellent communication and interpersonal skills, with the ability to interact professionally with clients and colleagues.

Preferred Skills:

  • Background or affinity for technology and/or life sciences industries.
  • Experience working with emerging growth companies or startup ecosystems.
  • Familiarity with corporate governance best practices and trends in the tech and life sciences sectors.
