Senior Legal Counsel, Mergers and Acquisitions The candidate will be leading in an inspiring and energetic fashion, and seeking to develop further, a team of highly-engaged professionals focused on mergers, acquisitions, divestitures, select distribution agreements, and other complex commercial transactions. Strategizing with and supervising outside and in-house counsel on issues related to all aspects of mergers, acquisitions, divestitures, select distribution agreements, and other complex transactions. The focus here is on deal mechanics â€“ indemnities, hold-backs, escrow, milestones, structured payments, representations and warranties, limitations of liability, etc. Participating directly and regularly in efforts related to the understanding of enterprise-wide business strategy and goals, especially those related to proposed transactions. Demonstrating an appreciation for and understanding of firmâ€™s role (and acceptable risk) in the context of being part of a multi-billion dollar global medical technology company. Supervising as well as and drafting, editing, negotiating, reviewing, and interpreting agreements and contracts and proactively handling matters through to resolution. Participating in and managing the development and implementation of strategies related to business development activity and other complex, enterprise-wide issues. Working closely with the Legal Operations team in its efforts to understand and control spending on outside counsel services. Timely preparing and providing (as needed or requested) clear, concise communications. Serving as a key, contributing member of the Global Legal Practices leadership team. Providing timely advice and counsel to the business on laws, regulations, and Stryker policies. Initiating, developing, providing and overseeing the implementation of internal processes as well as in-house training and education. Collaborating and communicating with colleagues, senior management, outside counsel, and other stakeholders on key strategies and issues. Actively supervising and strategizing with outside counsel. Assisting on other matters as needed.
Qualification and Experience
The candidate must have Law degree and admission to practice law. Should have 8-10 years of applicable professional experience. Prior professional experience considered. Demonstrates excellent judgment, professional demeanor, business acumen and executive presence is needed. Experience providing timely legal advice in a highly regulated environment is must. Demonstrates proficiency in the Microsoft Office suite is required.
