Vice President - Business and Legal Affairs The candidate will focus primarily on worldwide film acquisition and distribution transactions as well issues relating to the marketing of the domestic slate for Focus Features. Will report to the Executive Vice President, Business Affairs and work with senior business, finance, and marketing executives to structure, negotiate, document and administer license agreements and other key documents for the distribution of feature films. Negotiate and prepare agreements for all facets of motion picture acquisitions for domestic and international exploitation, including negative pick-up/acquisitions, cash flow acquisitions, joint venture, co-production, security agreements securitizing the rights acquired, output and co-venture agreements, license agreements, corporate contracts, exhibitor agreements, assignments and releases as well as related financing documents including interparty and intercreditor agreements. Lead chain of title review on each project for which he/she is responsible. Negotiate and draft marketing, promotions and independent contractor agreements, communicating with marketing, finance and promotions executives in connection with those agreements. Maintain relationships with attorneys and other representatives in the entertainment community. Perform additional responsibilities as assigned and directed by EVP, Business Affairs. A Juris Doctor (JD) degree is required. Active membership in the California State Bar is preferred. Should have 10+ years of experience working in transactional entertainment law with a strong preference for experience in motion picture acquisitions. Must have in-depth knowledge of the film industry with a proven track record of problem solving legal expertise. Should have excellent negotiating skills and a strong strategist who is able to present, develop and guide negotiations through to closure. Must have superior influencing skills and will be able to gain the respect of, and build a rapport with, multiple constituencies, internally and externally.
