Counsel – Private Funds & Private Equity Investments
Duties: Responsible for assisting internal business clients with issues relating to (i) formation of private funds and development of private investment products and (ii) investments in third party private equity / hedge funds, equity co-investments, and secondary transactions. Provide legal advice on organizational and transactional documents related to private equity / hedge fund formation for U.S. and offshore funds / investment vehicles. Collaborate with internal business clients to develop private investment products. Review, analyze, and negotiate investments in third party private equity / hedge funds, co-investments, and secondary purchase & sale transactions. Provide day to day private equity legal support to internal business analysts and portfolio managers. Have a familiarity with the regulatory and operational aspects of representing an SEC registered investment adviser. Select, manage, and oversee external counsel in accordance with the firm’s Outside Counsel Management Guidelines. Communicate material legal, compliance and regulatory issues promptly to the firm’s relevant stakeholders. Provide support and counsel on special projects.

Qualification and Experience

Qualifications: JD Degree from a highly-regarded law school. Licensed to practice law in North Carolina (or another US jurisdiction, with the ability to obtain license in North Carolina). 5+ years relevant experience working at a law firm or financial institution. Experience drafting and negotiating private fund and equity investment documentation. Knowledge and experience advising on the tax issues of private fund formation and investment strongly preferred. Knowledge of the Investment Advisers Act of 1940 preferred. Ability to appropriately prioritize tasks, organize, and coordinate work while showing initiative, independence and sound judgment. Demonstrated ability to work effectively both independently and as part of a team. Ability and willingness to take ownership and responsibility for tasks. Detail-oriented and flexible with a strong work ethic. Superior organizational skills and the ability to manage heavy work load of diverse matters in a timely manner. High standards of personal integrity and sound business judgment. Diverse problem solving skills in the investment arena. Significant interpersonal skills and the ability to successfully deal with internal colleagues, external counsel, and other third parties at senior levels. Must be willing to comply with the provisions of Code of Ethics related to personal securities activities and other disclosure and certification requirements.
