Paralegal The candidate will prepare all Franchise Documents. Will work with existing Franchise and ARu0027s on transfers of licenses and territories. Prepare Agreement Addendums. Receive and review incoming new Franchise and Area Representative and transfer Agreements and process for signature by the Executive team. Assist with preparation of Franchise Disclosure Documents. Communicate and meet with potential and existing Franchisees regarding franchise disclosures and documents. Notarize corporate documents as needed. Work with Accounting Department and Franchise Sales Department on matters relative to new and existing licenses. Update and maintain the Companyu0027s Franchise Compliance Database. Maintain and update Franchisee Files and various spreadsheets. As request review of Letters of Intent/ Leases/ Lease Addendums. Prepare Non-Disclosure Agreements. Update company corporate minute books and draft of minutes. As requested, review abstracts of Leases. Provide administrative legal support on designated work assignments. Handle registered agent and annual corporate filings. Maintain Department files.
Qualification and Experience
The candidate should preferably have 4 year Bachelor's degree or 2 Year Associate degree accepted in combination with relevant working experience. Corporate Paralegal with 4-7 years actual experience preferably in a corporate setting is preferred, Experienced Paralegals from a corporate department of a major law firm will be considered. Franchise experience or experience in a regulated industry, while not required, is extremely advantageous and highly desirable. Completion of a paralegal program with a Paralegal Certificate or Degree in Paralegal Studies are preferred. Knowledge of commercial contracts, franchising and compliance in a regulated industry is needed. Knowledge of corporate documents, corporate entity formation and corporate minutes are needed. Ability to maintain and manage databases- knowledge of FranConnect, Salesforce or similar databases are helpful. Excellent computer skills required- Microsoft Office, Excel, PowerPoint, database management is needed. Excellent written and oral communications skills are needed.
