Associate General Counsel The candidate will work with management on commercial and contracting issues; including advice on commercial relationships and contracts; drafting contractual documents; negotiating terms with customers, vendors, or third parties. Advise human resources department on legal issues affecting employees, including compliance with state and federal employment laws, employee benefit plans and provisions subject to ERISA and other federal laws. Present to the board of directors' information relating to high level corporate, compliance, and/or SEC reporting issues, and make sound recommendations based on the law and the facts involved in each issue. Assist foreign subsidiaries in growing business internationally by reviewing commercial transactions, managing employee issues, providing support for corporate structures and compliance programs. Work with other key management personnel in creating and implementing an effective compliance program to encourage and support actions and conduct that are consistent with the company's values, goals and objectives. Manage all litigation matters affecting the company, including pre-litigation dispute resolution, management of active litigation, responsibility for discovery and other litigation requests and procedures, including working with outside counsel on achieving satisfactory and cost-effective resolution of litigation matters. Provide guidance and assistance on all other legal matters.
Qualification and Experience
The candidate should have a Juris Doctorate degree and admission to the State Bar. Should have 8+ years of experience in a legal setting, with significant experience in corporate, commercial, employment, and/or civil litigation matters, preferably in the manufacturing industry. Ability to work in a very fast-paced environment and concurrently manage a mix of several diverse matters that requires quick turnaround on multiple high-priority needs with a high level of quality and accuracy. Outstanding written and verbal communication skills, 'hands-on' style, and willingness to proactively engage with peers while maintaining an open-minded and team-oriented approach. Demonstrated attention to detail, discretion and experience handling highly sensitive and confidential information. Demonstrated commitment to high professional ethical standards.
