Senior Counsel Duties: Provides experienced legal counsel and advice on operational, contract, claims, regulatory and litigation related matters. Represents and defends the company against all types of claims (i.e., regulatory and liability). Analyzes claims to determine risk of liability and damages to the company. Reviews business practices and makes recommendations to mitigate legal risk. Assists with document preparation and production for legal proceedings. Develops and maintains processes to ensure compliance with legal regulations affecting the business. Contract review and revision. Provides day to day advice on regulatory and liability issues to relevant business stakeholders. Conducts research on regulatory, liability, and corporate legal issues. Analyzes data to identify liability claims trends and identify mitigation solutions. Assists with the investigation of allegations of violations of company policy. Assists with preparation of due diligence and documentation for mergers and acquisitions. Liaises with outside counsel on litigation matters. Manage budget for litigation spend. May supervise other attorneys and paralegals.
Qualification and ExperienceRequirements: JD Degree and admission to practice in at least one state required, with admission to the Tennessee Bar required within a reasonable period. 2-7 years of experience practicing law required. Some exposure to regulatory enforcement preferred. Litigation and/or litigation management experience preferred.In-house experience is preferred. Experience conducting investigations and managing e-discovery preferred. Knowledge of alternative dispute resolution programs and best practices. Executive presence and relationship management skills. Influencing and negotiation skills. Coaching and counseling skills. Leadership and project management skills. Accuracy and attention to detail with qualitative and quantitative data. Quantitative and qualitative analytical skills. Verbal and written communication skills, including presentations. Computer skills with Microsoft Office applications (Word, Outlook, PowerPoint, Excel) classification.
