Paralegal Duties: Support the departmentâ€™s legal operations with paralegal projects in the area of general corporate legal and compliance work and other special projects as assigned. Corporate governance work: draft consents, resolutions and other corporate documents; process state filings for domestic subsidiaries; coordinating with local counsel on foreign subsidiary issues; coordinate appointment and removal of all corporate officers and directors; Provide litigation support by preparing quarterly litigation reports, managing litigation holds, coordinating document production, corresponding with insurers regarding pending claims and facilitating the execution of affidavits and subpoenas, coordinating with finance regarding budgets and accruals; Process markup of documents from legal department staff; draft and review standard forms of contracts (NDAs, consultants, distributor, trade show, hotel, etc.); maintain contract files, including following up on executed versions of contracts and notifying business unit representatives of impending important contract dates; Strong project management skills, to include managing and prioritizing multiple concurrent projects; Assist with managing and maintaining the legal departmentâ€™s electronic file room database; Assist with product and auto claims and coordinate the same with third party adjuster; Assist with copying, drafting letters, typing, sending UPS packages, etc.; Research and analyze law sources such as statutes, recorded judicial decisions, legal articles, treaties, constitutions, and legal codes; Further paralegal type duties to be assigned based on ability and experience.
Qualification and Experience
Qualifications: BA from an accredited college or university, a paralegal certificate from an ABA accredited school (or any equivalent combination of related experience, training, and/or education), plus 3-5 years of experience as a paralegal which should preferably be in-house for a corporation or a corporate law firm. Ability to work in a team-oriented environment and meet tight deadlines. Paralegal Certificate; CLA/CP Certification or equivalent paralegal experience. Demonstrated ability to work with outside counsel and to interact with senior management. Must demonstrate a high degree of organizational skills and professionalism. Strong presentation and written and verbal communication skills; strong project management skills. MS Word, MS Outlook, MS Excel, MS PowerPoint and the Internet. Candidates should possess a strong computer software background and be comfortable gaining proficiency quickly as the department utilizes various third party software applications.
