Assistant General Counsel The candidate will support Company's Enterprise Growth Team (the "EGT"). Will focus on the company's global strategy, M&A, venturing, craft, digital, eCommerce, brand development and marketing, innovation, and research and development initiatives. Provide legal counsel to the Chief Growth Officer and other members of this leadership team. Responsible for: drafting, negotiating, and implementing complex M&A, private equity financing, joint ventures, IP licensing, franchise and other commercial arrangements. Overseeing legal and regulatory aspects related to the introduction of disruptive technologies; advising the company on the marketing regulatory compliance for the company's digital marketing, social media and eCommerce programs. Supporting new product developments and research and development projects. Support the EGT by delivering effective, solutions-oriented legal advice in a timely manner. Contribute to key strategic discussions and identify legal solutions to projects. Support the company's M&A, venturing, strategy, strategic JVs/partnerships, and Craft/Retail projects. This will include drafting, negotiating and implementing complex M&A, equity financing, joint venture, licensing, franchise and asset purchase agreements; working with the company's corporate capital venture arm; and advising on legal, regulatory and competition matters related to the company's strategic projects. Advance the company's efforts to develop eCommerce platforms and payment systems. Provide legal and regulatory support regarding the company's Digital Marketing, Social Media and eCommerce programs. Responsibilities include working with functional leads in the Legal Department in the following areas: privacy (international federal, state, local); marketing regulatory compliance (international, federal, state, local); alcohol regulatory compliance; commercial transactions. Support the Associate General Counsels in the Legal Department with projects in the areas of international transactions, securities, capital markets, finance transactions, commercial contracts, IT transactions, and data and privacy.
Qualification and Experience
The candidate must have Juris Doctorate degree from a leading law school; excellent academic credentials. Should be commercially astute with strong numerical strengths and understanding of how brands contribute to financial growth. Experiences in complex transactions, financing, securities, capital markets, procurement, data privacy, intellectual property, international transactions and/or mergers and acquisitions is essential. Must have 5-10 years’ experience negotiating and drafting complex commercial agreements, with significant responsibility for handling own work load with minimum supervision. Experience with mergers and acquisitions, financing documents and other complex agreements is essential. Experience with transactions that involve complex intellectual property considerations is essential. Must have outstanding leadership skills and strong executive presence will complement expert technical skills. Exceptional writing skills. 3 - 5 years in the food & beverage industry or fast-moving consumer packaged goods is preferred. 3+ years of in-house experience is preferred. Exposure/experience with disruptive technologies in regulated industries is preferred. Strong understanding of relevant anti-bribery and corruption and competition regulations in the jurisdiction and applicable to multi-national companies is preferred.
