Associate General Counsel (Regulatory) The candidate will provide in-house legal services, with an emphasis on public utility regulatory matters, for the benefit of company and monitor work assigned to outside counsel. Provides legal services, advice and practical solutions in relation to a wide range of public utility regulatory and related issues affecting the Companies, including: assessment of legal, regulatory compliance and business risk; preparation of legal documents, pleadings, memoranda and regulatory filings; preparation of rate case filings and participation in all aspects of rate case hearing, including discovery, witness preparation, filing motions, etc.; advising officers, managers and employees regarding proposed legislation, newly enacted laws, legal trends, cases and policies pertinent to the Companies; assisting in the development and implementation of the Companies' policies, procedures, and strategies; advocate the Companies' positions externally. Provide legal services to company, including evaluation of legal issues and assessment of risk, in a wide range of other areas, including business law (with an emphasis on contracts and corporate liabilities), labor and employment law, environmental regulation, real property, securities, finance, compensation and benefits, legislation and litigation; develop preventative law programs including training to assist operational managers and their staffs in the handling of their work; advise officers, managers and employees regarding new laws, legal trends, cases and policies pertinent to the Companies. Provide work direction and/or monitor work performed by outside attorneys to ensure use of the same is efficient and provides high value; assist in monitoring and managing outside counsel costs, including invoice reviews. Direct, provide guidance to and monitor work of Legal Department Legal Assistants. Participate as a legal adviser on task forces, committees and special projects. Effectively communicate with senior management on legal issues and risks, including preparing and delivering presentations. Advocate the companies' positions externally. Handle routine matters in court or before governmental administrative agencies. Assist in developing and implementing policies, procedures and systems for provision of legal services and monitoring of potential areas requiring legal review. Provide such other services as attorney's abilities, education, and experiences enable attorney to perform. As assigned, participate as member of Hawaiian Electric, Maui Electric and/or Light Incident Management Teams (or similar team), or provide support to same as needed.

Qualification and Experience

The candidate should have Law degree, membership in the Hawaii State Bar Association and license to practice law in Hawaii (license to practice law and in good standing in another state will suffice pending admission to Hawaii bar). 4 years of legal experience required. Experience working with public utility commissions, consumer advocates and legislative bodies on public utility regulatory matters is desired. Should have thorough knowledge in commercial and business law (particularly contract law). Must have general knowledge and familiarity with the legal areas listed in the job requirements and specialized knowledge in one or more of such areas. Should have specialized knowledge in the area of public utility regulation and familiarity with Hawaii Administrative Rules 6-61 (Rules for Practice and Procedure Before the Public Utilities Commission) or similar rules in other jurisdictions. Should have ability to communicate clearly, persuasively, logically and succinctly (both verbally and in writing). In depth analytical, organizational and conceptual skills to handle various projects and program is required. Should have ability to identify, analyze and research legal issues affecting the Companies, and make recommendations to resolve or address the issues. Ability to identify legal options and provide creative solutions.
